                                Roll-over loans to BEC-TERO Entertainment Plc.

Re:     Roll-over loans to BEC - TERO Entertainment Plc. [BEC-TERO]
        As we reported the short-term loans granted by the company to
BEC - TERO Entertainment Plc. [BEC-TERO] our subsidiary which the 
company's holding is not exceeding 90% of the paid-up capital of the 
subsidiary and the minority shareholder is not a connected person. 
Today we have agreed to roll-over loans of Baht 5.0 million and Baht 
10.0 million which are due for repayment on 30 and 31 July 2003 
respectively, for 6 months at an interest rate of 2.0% per annum. 
Details of the transaction are as per the enclosed disclosure form.

                           capital of the subsidiary.
2. Parties:                Between BEC World Plc. (lender) [BEC] and 
                           BEC-TERO Entertainment Plc.(borrower) [BEC-TERO] 
   Related:                BEC-TERO is a subsidiary of BEC, which BEC holds
                           60% of BEC-TERO and Mr.Brian Lindsay Marcar who
                           is not a connected person holds 40%. 
3. Transaction Date and amount of money :
                           1.) July 30, 2003   Baht 5.0 million
                           2.) July 31, 2003   Baht 10.0 million
4. Characteristic of transaction:  The transaction is the roll-over of an
                                   existing loan for 6 months. The interest
                                   rate is fixed at 2.0% per annum, at a 
                                   higher rate than the banks' deposit rate
