Re: Connected Transaction
As the Board of Directors of our 60% subsidiary company,
BEC-Tero Entertainment Co., Ltd. [BEC-TERO], has today approved
the buy/sell agreement that BEC -TERO has agreed to buy land and
building from CVD Music Co., Ltd. a subsidiary company of CVD
Entertainment Plc., our 20% associated company which is classified
as "connected transaction" as per item #9 of SET's notification,
Re: Rules and Procedures and Disclosure of Connected Transactions
of Listed companies, thus the company is reporting this transaction
to SET and providing the details of the transaction as per the
enclosed disclosure form.

our 60% subsidiary company as a buyer,
and CVD Music Co., Ltd. [CVD] a subsidiary
company of CVD Entertainment Plc. our
20% associated company, as a seller.
4. The transaction: BEC-TERO agreed to buy, and CVD agreed
to sell a plot of 31 square wahs land and
3 levels building built on the land which
is situated at 61/26-27, Soi Amonphannivas 4,
Viphavadee-Rungsit Rd., Ladyao, Jatujak,
Bangkok, at Baht 6.955 million which is
the market price.
5. Classification of transaction: A connected transaction as per item #9
of SET's notification, Re: Rules and
Procedures and Disclosure of Connected
Transactions of Listed companies.
6. Size of transaction: 0.13% of consolidated net tangible assets
of the company as of September 30, 2001.
