THE BEC WORLD GROUP
was established in 1995 by combining all of the "MALEENONT"
companies involved in broadcasting, media, TV programme
sourcing and production. At present, the Group is comprised
of 27 companies which are BEC World Plc., 22 subsidiaries
and 4 associates (excluding subsidiaries of the associate),
whereas BEC World Plc. is the parent company, having persons
within the Maleenont family [The Maleenont] as a majority
shareholder. The businesses of the group are divided into
the following units:

Broadcasting and Media Business
1.1
TV Broadcasting
Bangkok
Entertainment Co., Ltd. will continue to operate Thai
TV Color Channel 3 through a joint operating agreement
with the Mass Communication Organization of Thailand until
March 2020. As the broadcaster who has full ownership
of the airtime, the company is obliged to schedule programmes,
arrange and modernise the programming format in order
to attract as many viewers as possible.
1.2
Radio Broadcasting
Bangkok
Entertainment Co., Ltd. and You & I Corporation Co., Ltd.
broadcast on four FM frequencies which are FM 89.0, 95.5,
105.0 and 105.5 MHz. Virgin BEC-TERO Radio (Thailand)
Co., Ltd., a joint venture with BEC-TERO Entertainment
Plc. is helping as commercial airtime reseller and advisor
on programming improvement. The license of FM 89.0 leased
from the Army had expired since December 2004 while FM
95.5 and 105.0 which were leased from the Public Relations
Department will expire by December 2005. However, FM 105.5,
which is operating in cooperation with Thai TV Channel
3, runs until March 2020.
1.3
New Media
New
media includes the Internet, Internet-related, Mobile
Entertainment and internet related business. These new
businesses are operated under BECi Corporation Co., Ltd.,
BEC Multimedia Co., Ltd., Mobi (Thai) Co., Ltd. and Digital
Factory - a joint venture between BECi and Asian Entertainment
and Communication Co., Ltd. Through Bangkok Satellite
& Telecommunication Co., Ltd and Satellite TV Broadcasting
Co., Ltd., the company is exploring the opportunity in
satellite TV business.

Programme Sourcing and Production
BEC
World Public Co., Ltd., Rungsirojvanit Co., Ltd., New
World Production Co., Ltd., BEC International Distribution
Co., Ltd., TVB 3 Network Co., Ltd., Bangkok Television
Co., Ltd. and BEC-TERO Entertainment Plc. are the key
producers for the company. The responsibility is divided
into each unit according to the types of their programmes.
Bangkok Karn La Korn, Bangkok Comedy, and Film Bangkok
source and produce documentaries, entertainment programmes
and films, mostly for Thai TV Color Channel 3.
2.2
Production of Shows, Music, and Campaign Activities
BEC-TERO
Entertainment Co., Ltd. [BEC TERO] is responsible for
production of shows, music and campaign activities especially
in organisation and promotion of international shows,
concerts, various marketing campaigns and sponsorship
and marketing promotion activities of local sport and
entertainment events. BEC TERO has invested in BEC-TERO
Hall to be used as an entertainment hall for its own events
as well as for rentals to outside customers while ThemeStar
limited develops and produces shows and exhibitions held
around the World. HORUS CREATIONS Co., Ltd. organizes
beauty contests and related events. THAITICKETMASTER.COM
Co., Ltd. provides public relations activities and advertising
services, as well as ticket sales and reservations for
the Group's companies and others. Sony Music BEC Tero
Entertainment Co., Ltd., a joint venture with Sony Music
(Asia) Ltd., operates the music business which include
music production and marketing while SMBT Publishing (Thailand)
holds and manages copyrights of music, melodies and songs
produced in Thailand.
2.3
Chain and Supporting Businesses
Other
supporting businesses are internal information technology
services by BEC IT SOLUTION Co., Ltd., broadcasting
facilities services by BEC Broadcasting Center Co.,
Ltd. and asset management and leases by BEC ASSET Co.,
Ltd. Besides, the company plans to provide a wide range
of production services, including studio and equipment
rental and post-production services by BEC STUDIO Co.,
Ltd., which is underway. For news coverage programmes
by BEC NEWS BUREAU Co., Ltd., the company plans to set
up the news departments of both Thai TV Colour Channel
3 and You & I Radio Stations. This unit will be independent
and will be responsible for producing news programmes
not only for its own television and radio use, but also
for selling to other news agencies.
In
addition, BEC World Group also holds a 20 percent stake
in CVD Entertainment Public Company Limited, the parent
company of the CVD Group of Companies. The main businesses
involve home entertainment such as distribution and
rental of video tapes, VCD and DVD and especially Home
Video. In addition, the Group or BEC TERO holds a 12
percent stake in PENA BEC-TERO Co., Ltd., who operates
retail business selling merchandises under the rights
of WARNER BROS. in Thailand.
At present, BEC
World Public Co., Ltd. has a registered capital of Baht
2 billion and a share capital of 2,000 million shares,
the company's shares listed as "BEC", began trading
on the SET on July 18, 1996. As at the end of 2004,
the company employed a total of 1,705 personnel.
